“You”, “Client” refers to the individual, business, or organisation purchasing or using our services.
“Services” refers to social media management, content creation, AI food photography, campaign management, video production, and any other services provided by us.
“Content” refers to any posts, images, captions, videos, stories, or other material created by us on your behalf.
“Platforms” refers to Facebook, Instagram, TikTok, and any other social media platforms we manage on your behalf.
2. OUR SERVICES
2.1 We provide social media management services to restaurants, takeaways, and food businesses as outlined in the plan you have purchased.
2.2 The specific services included in your package are detailed at the point of purchase. Any services not included in your chosen plan are available as add-ons at an additional cost.
2.3 We reserve the right to update, modify, or discontinue any aspect of our services at any time. Where changes are significant, we will provide reasonable notice.
2.4 We will always aim to deliver content that reflects your restaurant’s brand and identity, however final results may vary depending on the information and materials you provide to us.
3. YOUR RESPONSIBILITIES
3.1 You agree to provide us with accurate and up-to-date information about your business, including your menu, branding guidelines, opening hours, and any promotions you wish to run.
3.2 You are responsible for ensuring that any information you provide to us — including menu descriptions, pricing, allergen information, and promotional details — is accurate and compliant with applicable laws and regulations.
3.3 You agree to review and approve content within the timeframes we agree upon. Delays in approval may affect scheduling and posting timelines.
3.4 You are responsible for maintaining access to your social media accounts and providing us with the necessary permissions to manage them on your behalf.
3.5 You must not use our services for any unlawful purpose or in any way that could damage the reputation of your business or ours.
4. CONTENT OWNERSHIP
4.1 All content created by us specifically for your restaurant remains your property once it has been delivered and paid for in full.
4.2 We retain the right to use content we have created for your business in our own portfolio, case studies, and marketing materials unless you specifically request otherwise in writing.
4.3 Any content you provide to us — including logos, brand assets, and photography — remains your property at all times. By providing these materials you confirm that you have the right to use them and grant us permission to use them on your behalf.
4.4 AI-generated images created as part of your package are provided for your use on social media platforms only. Commercial use beyond social media, including print advertising, must be discussed with us in advance.
5. PAYMENTS & BILLING
5.1 Payment for our services is due monthly in advance unless otherwise agreed in writing.
5.2 All prices are shown exclusive of VAT. VAT will be added at the applicable rate at the time of invoicing.
5.3 If payment is not received within 14 days of the due date, we reserve the right to pause or suspend your services until payment is made.
5.4 We reserve the right to review and adjust our pricing with a minimum of 30 days written notice. You will always have the option to cancel before any price increase takes effect.
5.5 All payments are non-refundable once a billing period has commenced, except where we have failed to deliver the agreed services.
6. CANCELLATION
6.1 You may cancel your subscription at any time by giving us 30 days written notice via email.
6.2 Cancellation will take effect at the end of your current billing period. No refunds will be issued for any remaining days in that period.
6.3 Upon cancellation we will cease managing your accounts and return access to you. Any content created during your subscription remains yours to keep.
6.4 We reserve the right to cancel or terminate your subscription at any time if you are found to be in breach of these terms, with immediate effect.
7. RESULTS & PERFORMANCE
7.1 We will always work hard to deliver the best possible results for your restaurant, however we cannot guarantee specific outcomes such as a set number of followers, bookings, or sales.
7.2 Social media performance is influenced by many factors outside of our control, including platform algorithm changes, seasonal trends, and local market conditions.
7.3 Any results, statistics, or case studies referenced on our website are representative of past client performance and are not a guarantee of future results.
8. CONFIDENTIALITY
8.1 We agree to keep all information you share with us confidential and will not disclose it to any third party without your consent, except where required by law.
8.2 You agree to keep any pricing, strategies, or processes we share with you confidential and not to disclose them to competitors or third parties.
9. SOCIAL MEDIA PLATFORM TERMS
9.1 Our services are carried out in accordance with the terms and conditions of each social media platform we manage. We cannot be held responsible for any changes made by those platforms that affect the delivery of our services.
9.2 We will not post any content that violates the community guidelines or advertising policies of any platform. If you request content that we believe breaches platform rules, we reserve the right to refuse.
10. LIMITATION OF LIABILITY
10.1 We will not be held liable for any indirect or consequential loss arising from the use of our services, including loss of revenue, loss of bookings, or reputational damage.
10.2 Our total liability to you in any given month shall not exceed the amount paid by you for services in that month.
10.3 We are not responsible for any content, actions, or decisions made by third parties including social media platforms, advertisers, or other service providers.
11. INTELLECTUAL PROPERTY
11.1 All branding, website content, methodologies, and processes belonging to us remain our intellectual property at all times.
11.2 You may not copy, reproduce, or replicate any part of our website or service materials without our express written permission.
12. GOVERNING LAW
12.1 These Terms of Service are governed by the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. CHANGES TO THESE TERMS
13.1 We reserve the right to update these Terms of Service at any time. Where changes are material, we will notify you with a minimum of 14 days notice. Continued use of our services following that notice period constitutes acceptance of the updated terms.
